A Ukrainian TOV, a Czech s.r.o. or a UK Ltd cannot apply directly, but any of them can set up a Polish <strong>sp. z o.o.<\/strong> and apply through it. Foreign ownership of the capital is not in itself a barrier.<\/p>\r\n          <p>Bank lending works the same way: a Polish bank lends to a Polish legal entity. The practical parameters worth planning around:<\/p>\r\n          <ul class=\"styled\">\r\n            <li><strong>Minimum share capital of a sp. z o.o.<\/strong> is 5,000 PLN.<\/li>\r\n            <li><strong>Registration via the S24 online system:<\/strong> the registry court should in principle process the application within one business day, though one to three days is the realistic expectation.<\/li>\r\n            <li><strong>Court fee<\/strong> for S24 registration is 250 PLN, plus civil law transaction tax of roughly 0.5% of the share capital.<\/li>\r\n            <li><strong>A founder without a PESEL number<\/strong> signs with a qualified electronic signature; the Polish trusted profile is not available to them.<\/li>\r\n            <li><strong>After registration<\/strong> the company receives KRS, NIP and REGON numbers, and beneficial ownership data has to be filed in the CRBR register.<\/li>\r\n            <li><strong>Sole proprietorship (JDG)<\/strong> is not open to every foreigner: it requires a qualifying residence status such as permanent residence or the Polish Card. Without it, a company is the only route.<\/li>\r\n          <\/ul>\r\n\r\n          <h3>Why the bank says no to a company with no history in Poland<\/h3>\r\n          <p>The analyst assesses debt service capacity on the financial statements of the Polish entity. A newly registered sp. z o.o. simply does not have them, and the parent company&#8217;s statements are not normally taken into the calculation. So the refusal is often not about the business at all, it is about the absence of evidence.<\/p>\r\n          <p>What actually moves the needle in that situation:<\/p>\r\n          <ul class=\"styled\">\r\n            <li>Signed contracts or letters of intent with Polish counterparties.<\/li>\r\n            <li>Confirmed support from the parent company, sometimes in the form of a guarantee.<\/li>\r\n            <li>Owner equity that reduces the loan amount required.<\/li>\r\n            <li>The BGK de minimis guarantee, which substitutes for missing collateral.<\/li>\r\n            <li>Prepayments or confirmed orders that evidence real demand.<\/li>\r\n          <\/ul>\r\n          <p>This is exactly where the business plan carries more weight than it would for an established Polish company. It is the only document that explains to the analyst where the cash flow will come from when no Polish historical figures exist yet.<\/p>\r\n\r\n          <h3>SME status is assessed across the whole group<\/h3>\r\n          <p>This is the most expensive mistake foreign companies make. Grants are designed for small and medium enterprises, and the status is not determined by the Polish company alone. It is normally one element of a larger financing application. It helps to understand the environment the document has to work in.<\/p>\r\n\r\n          <h3>Bank credit with the de minimis guarantee<\/h3>\r\n          <p>SME sector companies without sufficient collateral use the de minimis guarantee from Bank Gospodarstwa Krajowego. The guarantee covers part of the loan amount and is granted through the lending bank rather than directly by BGK. As standard it covers up to 80 percent of the loan, with a guarantee period of up to 75 months for working capital credit and up to 120 months for investment credit. Programme parameters change, so we always verify current terms at the source before an application goes in.<\/p>\r\n          <p>For the document this has one practical consequence: if the collateral is a guarantee, then that much more of the assessment weight falls on the cash flow projection. The analyst has to see that the company will service the loan out of ongoing operations.<\/p>\r\n\r\n          <h3>EU and national grants<\/h3>\r\n          <p>The largest programme for entrepreneurs in the current perspective is Fundusze Europejskie dla Nowoczesnej Gospodarki, implemented among others by the Polish Agency for Enterprise Development (PARP). On top of that come regional programmes run by voivodeship authorities and sector specific instruments. Every call has its own application instructions and its own scoring criteria, and the business plan is an attachment to them.<\/p>\r\n          <p>In practice this means we write a grant business plan only after reading the rules of the specific call. The structure of the document mirrors the assessment criteria, because those are what decide the score.<\/p>\r\n\r\n          <h3>Investor capital<\/h3>\r\n          <p>In conversations with a fund or an angel the document plays a different role: it is the substantive backing for the pitch. The investor looks at the deck first and reaches the financial model and the full document later, usually at the due diligence stage.
